1 Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the DataAutomata platform ("Service") provided by NuvoAI Private Limited ("NuvoAI", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are accessing the Service on behalf of a healthcare institution or organization, you represent that you have the authority to bind that organization to these Terms.

2 Description of Service

DataAutomata provides AI-powered clinical data extraction, verification, and record management for healthcare workflows — including but not limited to TAVR procedure data from 3mensio and similar imaging reports. The Service includes:

The Service is intended solely for use by authorized healthcare professionals, clinical researchers, and administrative staff at accredited medical institutions. You agree to:

DataAutomata is a decision support tool, not a licensed medical device or diagnostic instrument. All extracted data is subject to error and must be reviewed by a qualified clinician before use in patient care.

This application does not replace the medical judgment of treating physicians or expert heart teams. Clinical decisions remain the sole responsibility of the licensed professionals managing patient care.

Meril/NUVO AI is not responsible for clinical decisions, patient diagnoses, or any medical judgments made on the basis of data extracted or displayed by this platform. NuvoAI makes no warranty, express or implied, that extracted data is accurate, complete, or fit for any particular clinical purpose.

6 Intellectual Property

All software, AI models, interfaces, and documentation comprising the DataAutomata platform are the exclusive property of NuvoAI Private Limited and are protected by copyright, trade secret, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of data you upload. By uploading data, you grant NuvoAI a limited license to process that data solely to provide the Service.

7 Limitation of Liability

To the maximum extent permitted by law, NuvoAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including any clinical outcomes based on extracted data. Our total liability for direct damages shall not exceed the amount paid by your institution in the twelve months preceding the claim.

8 Modifications to Service and Terms

We reserve the right to modify or discontinue any part of the Service at any time. We will provide reasonable notice of material changes to these Terms via email or in-app notification. Continued use of the Service after the effective date of updated Terms constitutes acceptance.

9 Termination

We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or any other reason with reasonable notice. You may terminate your account at any time by contacting your institution's administrator or reaching out to support@nuvo.ai. Upon termination, data handling follows the terms of your institution's service agreement.

10 Governing Law

These Terms are governed by the laws of the jurisdiction in which NuvoAI Private Limited is incorporated, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the competent courts of that jurisdiction, as applicable.
